EMI License Staffing Requirements in Latvia and Cyprus — Who You Need to Hire Before You Launch

The Staffing Problem Nobody Tells You About Until You Are Halfway Through Your EMI Application

You have chosen your jurisdiction. Your lawyers are preparing the business plan. The corporate structure is in place and the share capital is being arranged. Everything is moving — and then someone tells you that the regulator will not grant the license until you have appointed and approved a Compliance Officer. And a resident Director. And possibly a Deputy MLRO. All of them must pass fit and proper assessment. All of them must have relevant financial services experience and proper academic credentials.

And the market for these people — particularly in Latvia and Cyprus, where EMI applications are currently running at high volumes — is genuinely tight.

This is the staffing bottleneck that delays more EMI applications than any documentation issue or capital requirement. Latvia — Latvijas Banka EMI Staffing Requirements

Since 1 January 2023, Latvijas Banka — the Bank of Latvia — has been the single supervisor for credit institutions, payment institutions, EMIs, and investment firms, consolidating the former FKTK (Financial and Capital Market Commission) functions. The regulator is English-friendly, with a statutory 3-month review clock from complete file submission, though real-world timelines run 7–10 months end-to-end for an EMI.

Latvia has positioned itself as a credible alternative to Lithuania in the Baltic fintech licensing space — a quieter queue, similar EU passporting benefits, and a regulator that is accessible and commercially realistic. The EMI minimum capital requirement is €350,000.

Mandatory Staffing Requirements

1. Resident Director (at least one)

Latvijas Banka requires at least one member of the management body to be resident in Latvia. This is a genuine substance requirement — not a nominee arrangement. The director must be:

  • Physically based in Latvia with demonstrable ties to the jurisdiction
  • Genuinely involved in the management and oversight of the entity
  • Able to respond to Latvijas Banka requests and attend meetings in Riga
  • Fit and proper — clean criminal and regulatory record, relevant professional background
  • Able to demonstrate sufficient knowledge of payments regulation and the entity's business model

The fit and proper file for each director must be submitted as part of the EMI application. Latvijas Banka will assess each individual's qualifications, experience, reputation, and conflicts of interest.

2. Local AML Compliance Officer (MLRO)

Latvijas Banka requires a designated AML Compliance Officer — locally referred to in line with Latvian AML Law — who takes personal responsibility for the entity's AML/CFT framework. This individual must:

  • Be based in Latvia or have a genuine operational connection to the entity
  • Hold relevant qualifications — degree in law, finance, economics, or related field
  • Have practical experience in AML/CFT compliance within a regulated financial institution
  • Have no adverse regulatory history or criminal record
  • Be capable of acting as the primary point of contact with Latvijas Banka on AML matters

For smaller operations, the AML Compliance Officer and the resident Director may be the same individual — provided that individual has the dual capability and capacity.

3. Management Body with Collective Experience

Latvijas Banka assesses the management body as a whole. The collective experience of the board and senior management must demonstrate competence across payments operations, compliance, risk management, and financial management. An application where the entire management team is new to payments regulation will face significant scrutiny.

4. Additional Roles That Strengthen the Application

While not always mandatory, the following roles significantly improve application quality and operational credibility:

What Latvijas Banka Looks For in Fit and Proper Assessment

The assessment covers five key areas for every proposed director, MLRO, and senior manager:

  • Reputation — no adverse findings by any regulatory body, no convictions for fraud or financial crime
  • Experience and competence — relevant professional background appropriate to the role
  • Independence — no conflicts of interest that would compromise independent judgment
  • Financial soundness — no personal insolvency or bankruptcy proceedings
  • Time commitment — the individual must have the genuine capacity to fulfil the role, with no conflicts from other positions held

Cyprus — Central Bank of Cyprus (CBC) EMI Staffing Requirements

Cyprus is one of Europe's most established EMI licensing jurisdictions. The Central Bank of Cyprus (CBC) regulates electronic money institutions under the Electronic Money Laws of 2012 and 2018, transposing the EU's Electronic Money Directive 2 (EMD2). The CBC is a rigorous but well-understood regulator — with a large professional services ecosystem in Limassol and Nicosia that has deep experience supporting EMI applications.

The EMI minimum capital requirement is €350,000, consistent with EU requirements.

Mandatory Staffing Requirements

1. At Least Two Executive Directors

The CBC requires that an EMI be managed by at least two natural persons. Both must:

  • Pass the CBC's fit and proper assessment — submitted as part of the license application
  • Have relevant experience in financial services, payments, or a related field
  • Demonstrate understanding of the EMI's business model and regulatory obligations
  • Be of good repute with no adverse regulatory or criminal history

At least one director is typically expected to have meaningful involvement in the day-to-day management of the Cyprus entity — the CBC has tightened substance requirements significantly and does not look favourably on directors who hold many other concurrent positions without adequate time allocation.

2. Money Laundering Compliance Officer (MLCO / AMLCO)

This is the most critical and most commonly delayed appointment in the Cyprus EMI licensing process.

The CBC requires a designated MLCO who must be:

  • Formally appointed by the Company's Board of Directors
  • Approved by the Central Bank of Cyprus before the license is granted or the role is assumed
  • A full-time employee of the licensed entity — not a consultant, not shared with another entity
  • Resident in Cyprus or with a genuine operational connection to the Cyprus entity

The MLCO's responsibilities are comprehensive:

  • Act as designated AMLCO under the Electronic Money Laws of 2012 and 2018
  • Own the full AML/CFT framework — policies, procedures, KYC/CDD, transaction monitoring, sanctions screening
  • Serve as primary contact with the CBC on all AML/CFT matters
  • Manage regulatory correspondence, thematic reviews, and on-site visits
  • Oversee the full regulatory reporting calendar — PIEMI RR Forms, quarterly and semi-annual payment statistics, AMLCO annual reports, AML and sanctions risk assessments, and the Annual Compliance Declaration

Beyond the MLCO, the CBC expects the entity to have a documented compliance function with:

  • KYC/CDD and EDD frameworks
  • Transaction monitoring systems and procedures
  • Sanctions screening processes
  • Suspicious Activity Reporting (SAR) procedures to MOKAS (the Cyprus FIU)
  • Internal audit arrangements

The Real Challenge: Why These Candidates Are Hard to Find

Both jurisdictions are experiencing the same fundamental problem: the number of qualified, regulator-approvable compliance professionals available in the market is significantly lower than the number of companies applying for licenses.

In Latvia, the candidate pool is genuinely small. Riga has a growing fintech community but the number of professionals with specific EMI compliance experience, clean regulatory records, and the willingness to take on personal regulatory accountability at a new entity is limited. The best candidates are already employed at established PI and EMI licensees and are not responding to job postings.

In Cyprus, the market is larger but demand is intense. Limassol and Nicosia host hundreds of regulated entities across banking, forex, payments, and crypto — all competing for the same pool of CBC-experienced compliance professionals. An EMI applicant without an existing relationship in the market will spend months finding a suitable MLCO candidate.

The common mistakes that cause delays:

Starting the compliance officer search after the license application is submitted — by which point the file is already under review and the regulator is waiting for the Key Person appointment.

Attempting to appoint a consultant or part-time compliance professional for a role the CBC explicitly requires to be full-time employment.

Presenting a candidate to the regulator without adequate pre-screening — only to find the fit and proper assessment fails due to a regulatory sanction or qualification gap that could have been identified in advance.

Offering salaries based on 2021 or 2022 benchmarks in a market where compliance professional salaries have increased 20–35% since then.
